CASTING & PRODUCTION TERMS AND CONDITIONS

These Terms & Conditions accompany the Casting Quotation / Estimate issued by MFFC. By signing or executing the Project, the Client agrees to the unified conditions detailed below.

1. Definitions

• “Casting Quotation” means the quotation, estimate, or cost breakdown shared by MFFC, whether signed by the client or delivered electronically.

• “Delivery Date” means the timeline or date identified for project or image delivery in the Casting Quotation.

• “Fees” means all charges, service fees, and payments identified in the Casting Quotation.

• “Image” or “Images” means the finished photographic, visual, or digital products representing the final deliverables of the Project.

• “Project” means the collective casting and production services undertaken by MFFC to deliver the job in accordance with the Scope.

• “Scope” means the specific project parameters, model profiles, revisions, and requirements outlined in the Casting Quotation. MFFC is not responsible for any client misunderstanding or misreading of the Casting Quotation / Estimate.

2. Appointment & Scope

The Client appoints MFFC to undertake the Project. The Client agrees to pay all quoted costs plus any additional costs arising from changes to the Scope. Items marked 'TBC' (To Be Confirmed) are strictly subject to change based on actual market variables. This document, alongside the Casting Quotation, constitutes the entire agreement and supersedes all prior communications.

3. Casting Fee Structure & Model Selection

A non-refundable casting fee equal to 20% of the total estimated talent budget is locked immediately upon engagement. This fee covers digital search, curation, and admin labor, and is fully payable regardless of whether the Client confirms a model from the options provided.

4. Search, Revisions & Delivery

Timeline MFFC will make all reasonable efforts to meet the Delivery Date. The baseline estimate includes the initial presentation plus up to 3 rounds of revisions or alternative searches via package sheets, digitals, and video links (100% digital curation; no in-person auditions are covered). Because model availability changes rapidly, the Client must provide feedback or final selections within 24 hours of package delivery for each round. MFFC is not responsible for production or delivery delays resulting from the Client’s failure to provide prompt feedback.

5. Talent Fees, Payroll & Usage Rights

All model booking fees, day rates, and usage buyouts must be paid directly by the Client to the talent or their respective agencies. MFFC assumes zero payroll or legal liability for the models. Model usage rights (print, digital, social media, etc.) and duration are locked to initial specifications; any expansion of usage parameters must be negotiated and paid for directly by the Client.

6. Payment Terms & Net 30 Framework

Invoicing follows a strict dual-phase structure: the initial 50% deposit invoice is issued upon signing to launch the search, and the final 50% balance invoice is issued the day after the shoot. Both invoices are subject to Net 30 payment terms from their respective issuance dates. Fees are exclusive of value-added tax or other statutory taxes, which are payable by the Client. MFFC reserves the right to charge interest at 8% per annum on any amount remaining unpaid 30 days after the invoice due date. The Client agrees to indemnify MFFC for all legal and recovery expenses incurred to claim overdue debts.

7. Licensing & Third-Party Material

Unless specified, licensing costs for third-party footage, stock photographs, or supporting material are excluded from the Fees. The Client warrants that any background or third-party assets they provide for inclusion have been legally cleared, and they hold all necessary licenses and permissions.

8. Client Representation & Production Approvals :

The Client must supply their own authorized representative on-set at the shoot to approve material in real time. If no representative is present, the Photographer's interpretation is legally deemed final and acceptable. Failure by the present representative to raise an on-set objection constitutes full approval and acceptance of the captured material.

9. Location Scouting

Unless explicitly built into the baseline quotation, 50% of the standard Photographer and Producer daily fees, plus all direct operational travel and scouting expenses, will be billed additionally for location scouting phases.

10. Cancellation, Postponement & Talent Forfeiture

• Cancellation up to 2 business days prior to shoot day: Client is liable for all production costs incurred up to that hour, plus 25% of the Photographer and Producer fees.

• Cancellation less than 2 business days prior to shoot day: Client is liable for all production costs incurred, plus 50% of the Photographer and Producer fees.

• Cancellation on the day of the shoot: 100% of all quoted costs, casting fees, and production fees are fully payable.

• Weather Postponement: If a shoot is postponed due to weather conditions after 7:00 AM on the day of the shoot, the Client is liable for 100% of all third-party costs, excluding Photographer and Producer day fees, pending confirmation of a rescheduled date. Additional make-up, hair, styling, crew, gear, and talent rates apply to the new shoot date.

• Talent Cancellation: Cancellation or removal of scheduled Talent within 48 hours or less of the shoot day triggers a 100% forfeiture rate, and full talent fees remain payable.

11. Governing Law & Jurisdiction

These Terms & Conditions are governed by, construed, and enforced in accordance with the laws of Hong Kong. Both parties irrevocably submit to the non-exclusive jurisdiction of the courts of Hong Kong.
